R and D Master Services Agreement
Terms governing interactions with BiQadx digital properties, pilot hardware endpoints, and concept specifications.
1. Scope of Development Platform
By accessing the BiQadx Catalogue, Library, or LIMS sandbox environments, you acknowledge that all presented specifications, CAD mockups, target assay menus, and software interfaces are in active research and development. They do not constitute final commercial offerings.
2. Strict Prohibition on Clinical Claims
BiQadx currently holds no FDA 510(k), CE-IVDR, or equivalent global regulatory clearances for the systems depicted. You agree NOT to utilize any information from this platform to inform patient care, clinical decision making, or diagnostic validation. All system capabilities are abstract engineering targets.
3. Intellectual Property Boundaries
The digital and hardware architectures outlined herein, including but not limited to the Dr. POCT console frame, the EtherX high-density disc fluidics, and the LIMS Intelligence Node routing logic, are the exclusive intellectual property of BiQadx. Unauthorized reverse engineering, scraping, or replication of the catalogue database is strictly enforced.
4. Limitation of Liability
In no event shall BiQadx, its engineers, or its affiliates be liable for any direct, indirect, incidental, or consequential damages arising out of the use of or inability to use the conceptual data, mock interfaces, or preliminary specifications provided.
5. Pilot Program Agreements
Entities engaging in physical hardware prototyping or pilot software deployment will be bound by a supervening Mutual Non-Disclosure Agreement (MNDA) and a tailored Joint Development Agreement (JDA).
